If your holding company is an LLC or a corporation then it must have a RA.

I've posted this question on a few business channels looking for one person to know the answer so I can move forward 🥹: If I have registered my business with a DBA/sole proprietor and I set up a virtual mailing address, will ALL my mail (business and personal) now be forwarded to the virtual mailing address, including amazon packages etc.? Does going through the notary process and transferring my mail mean there is no longer a separation between personal and business mail since I'm a sole proprietor? This is my only reservation about setting up a virtual mailing address. I would like a way to keep a separation between my business and personal mail.

Hi, I was wondering if its mandatory to have an LLC or Corp registered when we have a virtual address? I have a small digital media agency and have been thinking to get a US virtual address, but then what would be the notary reason I state on why I'm getting this address? I don't want to get into any legal complications, would that be unlawful or perjury or else? Super confused.
I think you are getting your legal terminology confused. You may want to talk to a lawyer.
First time filer here. Before I completed my application for a Service Mark in January 2023 I was extremely nervous about doing all of this on my own because I was afraid that I would screw up and the application would be denied and I wasn't about to pay almost $650 to LegalZoom and then be inudated with paying for additional and probably unnecessary services, but fortunately when I hit a snag such as a Non-Final Action because I did not include a a required disclaimer i.e. "No claim is made to the exclusive right to [disclaimed part here] apart from the mark as shown" and initially did not include an acceptable specimen or my application was suspended because there was a similar mark application pending I was able to get in touch with my USPTO Examining Attorney and he was extermely helpful and kept me calm (I basically started freaking out after receiving the Non-Final Action and then the Suspension Notice) and in the end after 1 year 4 months and 24 days I am prepared to receive my trademark registration certificate within the next day. So my advice, if you are doing this on your own and don't have an attorney and need assistance email or call your USPTO Attorney Examiner for assistance, their email address and phone number are in all of the correspondence they send to you.

Great video! I have a question. Generic names will not be accepted by the authorities. But what if the brand name is a whole new category? A compound noun. Words that are known by most but put together to create a whole new product category not seen before. Even the domaine name is not taken, so would that be possible?
Good question! That sounds like an arbitrary name. But without more information it is hard to say.

I disagree with getting a DBA before a LLC because it was a headache trying to get everything changed when I started building credit, nothing matched! I eventually had to get a new name!
You make a strong case for doing the LLC first. But in the future, feel free to reach out to a lawyer as we can help you through this without having to change your name.

Hi Jim! Fantastic video, I’ve watched quite a few of yours today. Do you think my car review RUclips channel should have an LLC? It earns a decent amount as a part time job, and I still have a professional W2 job, which is what most of my assets have been paid off from. I’ve previously assumed I didn’t need much more than good auto insurance incase of an accident or being hit by an under insured driver. And I’m cautious to only drive vehicles that are under factory warranty or that are trusted to not introduce risk from them breaking while being tested. And 99% of my vehicles comes from good dealerships I’ve made a handshake type agreement with. I get to borrow their vehicles and I give dealership recognition in my videos in return. I know you’re a busy guy, but if you wouldn’t mind sharing your thoughts on this as a fellow part time RUclipsr I’d so much appreciate it! Best regards!!
Can Any non US citizen apply for a trade mark to branding in US market from his coutry?
They would need to hire a US Attorney to assist with the filing, but yet.
Does that mean when i apply for Headstart and the person checks it over in around a week if he verifies it at that time say 5 days does that mean i will have a pending trademark. i am selling on amazon and with a pending trademark i can apply for a brand name.
When filing for an LLC in North Carolina, is there any paperwork that requires you to list your personal home address? or can all LLC application documents use a virtual business address and google voice phone number?
It depends if you decide to serve as your own registered agent or not. Also, you will need to complete the BOI information which requires your residential address (but it not public information I don't believe).

I'm just hitting that wall now. Been getting along great with sole prop and a DBA but now that I want to build my business credit to get business loans, I know I need to make the move to LLC.
Typically when applying for credit as a single member LLC the banks will look to your personal credit, but there are lots of other goods reasons to form an LLC.

You seriously couldnt figure out why he came up with the name AMAZON? ummmm ok the biggest rainforest in the entire world, the biggest selection of books in the world? and what about half fanciful and then at the same time adding on to the name and letting them know what its about. In my experiences Ive never had a issue with a name in a legal standpoint, maybe i got lucky
You probably did (get lucky). I see naming issues everyday.
If not LLC then what? What if I don't want to use my name.
You could form a corporation, but unless you are a startup looking for funding, that is probably unnecessary and and LLC is the best way to go.
After I apply for my LLC how do I apply for my EIN. Does the LLC come with it?
No, you apply through the IRS website.
Definitely an hour worth spending. Her "Eat my words" website is pretty cool too. Reading it, you definitely get the message before you get "clutter fatigue." The mention of how Amazon got it's name was really interesting. Based on her website, her firm had something to do with that? Wow. I remember when I first heard the name it was viscerely hostile but memorable, maybe even intriguing. "Who do these people think they are?" It definitely turned out to be a winner and the name has had legs and broad applicability. Really valued the SMILE and SCRATCCH acrostic. And I learned I better get to trade-marking that name I was planning to use. Did I learn anything? I don't know. I ended up wanting to keep my original name, so maybe I didn't learn anything. Maybe I'm a hard case. I'm really grateful, however, to be able to run my thinking/guesswork through her sieve. In our case: 1) Yes, keeping to three sylables is probably smart. 2) Can it be remembered? 3) Does it leave room to grow, 3b) Does it capture an underlying ethic or direction that is broad enough to capture the unknown ways we might grow? 4) Can it acquire legs and personality? When you're locking in a name you really want to be thinking through the things in her rubric. Her yogurt-shop examples of attaching themes, products and personality to the name could seem a little kitschey for some businesses such as professional services but, in the mindscape of consumer memory, it doesn't hurt to find a little crevice where a shrub or two might grow. By the way ... did you know the US Patent Office uses a light bulb for the favicon that shows up on your browser? Case closed.

Why are you saying dont pay yourself with a business check to your personal account, how else can you do it?
I made this video awhile ago, but I don't think that is what I said. I actually think writing a check to yourself from your business to personal account is the way you should do it. I take an owner draw every week and that is still how I do it. (I also take a salary at the end of each month and have payroll taxes/FICA/etc. deducted.)

It's the fear of being sued and that they will give the plaintiff your Craftsman tool set worth $129.99. And maybe they will take your 25 year old pickup truck with 236,000 miles that has a street value of about $2,500 bucks. And maybe they will try and get your George Foreman grill too! Maybe you violate a copyright on some printed T-shirts. Like a shirt that says "Four Score and Seven Hot Dogs ago." Someone maybe copyrighted that with an actual filing back in 1956, and they were patiently waiting for you to try and sell a single T-shirt online with that exact saying. AHA! Caught you, you thief! No defense. I have the copyright paperwork! Ok, yea, your screwed on that. The judge can issue a judgment for "x" amount of dollars based on Federal law. So bad example. The LLC won't help you there. Maybe someone sues you because the ink used on the T-shirt caused them to have some major skin problem. Now they are going to get that grill and those Craftsman tools, and that Roth IRA that you have $1,529.87 in! Aha! Should have chosen the LLC to protect those assets, and your DVD movie collection and your favorite slippers. But you didn't form the LLC because the law firm that you used for your registered agent did not send a reminder to you to pay your annual Secretary of State fee and file a simple one page information report. Ooops. But seriously, if you can't keep track of something as basic as that, should you really even be in business ever? Probably not. Just stick with watching your movies and eating stale chips on the sofa. Just do the sole proprietorship thing if you must and file a DBA if you want to use a different name other than your own. Then when you realize you have zero business skills and negative income, you can just say screw it and go back to the sofa. No worries about canceling anything with the Secretary of State about your LLC. Yes, you actually have to cancel a failed LLC, otherwise fines can rack up year after year after year. And once they hit 6 bazillion dollars, they then notify you that you owe them some cash or jerkycoin. What makes you legit as a business? How about actual income in the positive numbers at year end. Okay, well, $229.32 net profit ain't exactly LLC worthy. But if you love that Foreman grill, knock yourself out. Go full on LLC knowing you are legit and your grill and slippers are safe.
Do you need a LLC for a online vape business when located in Texas?
I recommend having an LLC for most small businesses.

Registered agent CANNOT be virtual. And you don't send mail to your registered agent. The registered agent is for legal correspondence and due process only.

Not if one registered their trademark and the other is infringing.
